Swiss Avenue Historic District Association

Minutes of Monthly Meeting
April 15, 2014
The April meeting of the Swiss Avenue Historic District took place at the Aldredge House on April 15, 2014.  President Cameron Kinvig called the meeting to order at 7:05.
The minutes were presented and a motion was made to approve the minutes.
At that time, Bob Ruckman raised a question about the increase in the Outreach Budget, which was reported in the March minutes.  He stated that according to the Bylaws, Article 8, #3, this vote at last month’s meeting did not meet the requirements of the Bylaws, which read as follows:
Article VIII
General Provisions
1. Fiscal Year. The fiscal year of the Association shall be the calendar year September 1 - August 31.
2. Gifts. The Association shall be authorized to receive gifts, legacies and bequests, subject to approval of the Board of Directors.
3. Expenditures. All expenditures of the Association equal to or in excess of $5,000.00 must be approved by the members of the Association. Expenditures of less than $5,000.00 may be approved by the Board of Directors
After some discussion, President Kinvig stated that the minutes would be amended to note that the vote was not taken in accordance with the requirements of the Bylaws, and that therefore, was not effective.
In order to finish the business of the proposed Community Outreach Donations made by Outreach Committee, a second motion was made, discussed, seconded and approved.
The motion was as follows:
“The SAHDA will at this time not increase the $15,000 budget, but will instead, at this time approve all of the original donation amounts, excluding the amount of $6,000.00 to Long for the Potter’s Lanterns.  This amount will be presented at the September meeting with all good intentions to approve the distribution of the funds to Long, as already promised in good faith by the SAHDA.  But in order to keep with the Bylaws, and also keep the promised donation to Long, the donation will be postponed until after approval at the September meeting.”
Therefore, the amounts approved were as follows:
·      Lakewood Library--$2500 (materials)
·      St Matthew’s After School Art--$1500
·      Woodrow Wilson--$5800 (chairs and chair racks for storage)
·      Lipscomb--$5,000 (5th grade trip to Sky Ranch)
·      Old East Dallas PTA--$200
A motion was made, seconded, and approved to vote to approve the amended March minutes at next month’s meeting.
